Welcome to Rev.AI. These Terms & Conditions (“Terms”) govern your access to and use of our AI-driven ad-automation platform (“Service”) provided by Rev.AI GmbH (“Rev.AI,” “we,” “us,” or “our”). Please read them carefully. By signing up for or using the Service, you agree to these Terms.
1. Definitions
“Customer” means the entity that registers for or uses the Service.
“User Data” means all content, data, and information you upload or otherwise submit to the Service.
“Subscription” means the paid plan you select (e.g. Starter, Professional, Enterprise).
2. Acceptance of Terms
By creating an account, clicking “I agree,” or using Rev.AI, you accept and agree to be bound by these Terms and our Privacy Policy. If you represent an organization, you confirm you have the authority to bind that organization.
3. Access & License
Provision of Service. We grant you a non-exclusive, non-transferable, revocable right to access and use the Service, solely for your internal business purposes.
Restrictions. You may not (a) sell, sublicense, rent, or otherwise transfer the Service; (b) reverse-engineer or decompile any part of the Service; (c) use the Service to infringe any third-party rights; or (d) interfere with the Service’s security or integrity.
4. User Accounts & Security
You are responsible for maintaining the confidentiality of your account credentials.
You must notify us immediately of any unauthorized use or breach.
You may designate Sub-Users under your account, but remain responsible for all activity.
5. Subscription & Fees
Plans & Billing. You agree to pay the fees for the plan and billing cycle you select. All fees are due in advance.
Renewal. Subscriptions renew automatically unless canceled at least 30 days before the end of the then-current term.
Late Payments. Overdue invoices may incur interest at 1.5% per month.
6. Free Trials & Upgrades
Free Plan. You may use the Free plan subject to its published limits. You may upgrade at any time.
Promotional Trials. Limited-time trials may be offered; trial usage beyond the trial limits will incur standard fees.
7. Data, Privacy & Security
User Data. You retain ownership of your User Data. You grant Rev.AI a license to store, process, and display your User Data as necessary to provide the Service.
Security Measures. We implement industry-standard measures (encryption, access controls) to protect User Data.
Privacy Policy. Our handling of personal information is governed by our Privacy Policy.
8. Support & Maintenance
Included Support. Starter & Free plans receive community and email support; paid plans receive priority Slack and email support; Enterprise plans include phone support.
Scheduled Maintenance. We may perform maintenance with prior notice. We aim for 99.9% uptime.
9. Intellectual Property
Our IP. Rev.AI retains all right, title, and interest in and to the Service, software, documentation, and trademarks.
Your IP. You retain all rights in your User Data, designs, and custom templates.
10. Confidentiality
Both parties agree to keep confidential any non-public information disclosed in connection with these Terms. This obligation survives termination.
11. Warranties & Disclaimers
Mutual. Each party represents it has the right to enter into these Terms.
Disclaimer. EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED “AS-IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REV.AI BE LIABLE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE SIX MONTHS PRECEDING THE CLAIM.
13. Termination
For Convenience. You may cancel your Subscription at any time; your access will continue through the end of the paid term.
For Cause. Either party may terminate immediately upon material breach by the other if that breach is not cured within 30 days’ notice.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of Germany without regard to conflict-of-law principles. Any dispute shall be resolved in the courts of Berlin, Germany.
15. Changes to Terms
We may update these Terms changes will be posted with a new “Last updated” date. Continued use after posting constitutes acceptance.
